Terms of Service

Part 1: Basics + Roles

1) Acceptance of Terms

By accessing or using Fly (the “Platform”), including our website and mobile apps, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2) What Fly Is

Fly is a marketplace that connects organizations (“Organizations”) offering short, paid sustainability or community impact projects (“Gigs”) with individuals (“Participants”) who wish to perform those Gigs. Fly does not provide the Gigs itself.

3) No Employment Relationship

Fly is not an employer of Participants and is not a party to any employment or contractor relationship between Organizations and Participants. Organizations are solely responsible for:

  • Classifying Participants correctly (employee, contractor, volunteer, etc.)
  • Complying with applicable labor, tax, and employment laws
  • Providing any required insurance, safety guidance, and equipment

4) Eligibility

To use the Platform, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into a binding agreement
  • Comply with all laws applicable to you, including work authorization and visa rules in any country where you perform Gigs

5) Accounts

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account

We may suspend or terminate accounts for violation of these Terms or misuse of the Platform.

Part 2: Gigs, payments, conduct, and liability

6) Gigs and Payments

6.1 For Organizations

  • You may post Gigs with clear descriptions, scope, duration, location (if any), and compensation
  • You are solely responsible for the accuracy of Gig descriptions and the timely payment of agreed compensation
  • You are responsible for ensuring that Gigs comply with applicable law, including wage, hours, and safety rules

6.2 For Participants

  • Before accepting a Gig, you must review the description, requirements, and compensation
  • You are responsible for ensuring you are legally permitted to perform the Gig (including work authorization and visa status, where applicable)
  • Your participation is at your own risk, and you must use your own judgment before accepting any Gig

6.3 Fly’s Role in Payments

  • Fly may provide tools or integrations to facilitate payments between Organizations and Participants
  • Unless explicitly stated otherwise, Fly is not the payor and does not guarantee payment
  • Any fees owed to Fly will be disclosed separately in the Platform or relevant agreement

7) Code of Conduct

You agree not to:

  • Misrepresent your identity, skills, or intentions
  • Post or accept Gigs that are illegal, unsafe, discriminatory, or abusive
  • Harass, threaten, or harm other users
  • Attempt to interfere with or disrupt the Platform

We may remove content or suspend accounts that violate this Code of Conduct.

8) Content and IP

  • You retain ownership of content you create and upload, but grant Fly a non‑exclusive, worldwide, royalty‑free license to use, display, and distribute such content in connection with operating and improving the Platform
  • The Platform, including all software, branding, and design, is owned by Fly or its licensors and is protected by intellectual property laws. You may not copy, modify, or distribute it except as allowed by these Terms.

Part 3: Disclaimers, liability, and other legal terms

9) Third‑Party Services

The Platform may link to or integrate with third‑party tools or services. Fly is not responsible for third‑party sites, terms, or practices. Your use of third‑party services is at your own risk and may be governed by separate terms.

10) Disclaimers

The Platform and all content are provided “as is” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non‑infringement. Fly does not guarantee that:

  • Any Gig will be available or suitable for you
  • Any Participant or Organization is reliable, qualified, or legally compliant
  • Any outcome or impact will result from a Gig

11) Limitation of Liability

To the maximum extent permitted by law, Fly and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, resulting from:

  • Your access to or use of, or inability to access or use, the Platform
  • Any conduct or content of any user or third party
  • Any Gigs, interactions, or relationships between Participants and Organizations

Fly’s total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of: (a) the fees you paid to Fly in the 3 months before the claim, or (b) $100.

12) Indemnification

You agree to indemnify and hold harmless Fly from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform
  • Your performance of or posting of any Gig
  • Your violation of these Terms or any applicable law

13) Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. You may stop using the Platform at any time.

14) Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA, without regard to its conflict‑of‑laws principles. Any disputes arising under or relating to these Terms will be resolved exclusively in the courts located in Delaware, USA unless otherwise required by applicable law.

15) Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date. Your continued use of the Platform after changes become effective constitutes acceptance of the new Terms.
